5.Cause of occurrence:
(1)In order to simplify the investment structure, the Company has decided to
merge its 100% own subsidiary, Janus Power, and set the record date as
March 16th 2022.
After the merger is completed, ENE Technology Inc will be the surviving
company and Janus Power will be the dissolved company. All responsibilities
and duties of Janus Power shall be taken over by ENE Technology Inc.
(2)As Janus Power is 100% owned by ENE Technology Inc., the merger is
regarded as restructuring of the Group, thus the merger does not have any
impact on the shareholders' equity.
